Acquirers who have built a repeatable process at home often assume that a cross-border deal needs a wholly new approach. In practice the workstreams do not change. What changes is what the evidence means and how long it takes to obtain.
The method holds
Founder dependency, revenue quality, people and organization risk, and integration feasibility are the same four questions in every market we work in. A business that cannot function without its owner has the same problem regardless of where it is registered.
Keeping the method constant is what allows a buyer to compare a target in one country against a target in another without re-learning how to read the report.
What does change
Accounting basis and disclosure norms differ, so reported figures need to be restated onto a consistent basis before any comparison is meaningful. We work to IFRS as the common reference point in QoE review.
Timelines differ too. Consents, registrations, and regulatory clearances that take days in one jurisdiction can take weeks in another, and that difference belongs in the transaction timetable rather than in a footnote.
Employment and transfer rules shape retention planning, which means people diligence has to be run against local law rather than group policy.
Local reading, single standard
The working model is a consistent standard applied through local reading. We use in-market advisors for the parts that require jurisdictional judgment, and we hold the analysis, the scoring, and the reporting to one format so the investment committee sees a comparable document each time.
Our mandate is not limited to one region. Where a market is new to us, we say so, and we scope in the local expertise needed rather than extrapolating from experience elsewhere.
Confidentiality across borders
Wider geography increases the number of parties who touch a file. Every engagement runs under NDA before a single number changes hands, and that applies equally to advisors we bring in locally.
